Terms of Service

1. Acceptance of Terms

By accessing or using the Tiee platform, website, and mobile application (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

Tiee LLC ("Tiee," "we," "us," or "our") reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform. Your continued use after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

Tiee is a technology platform that connects users ("Clients") with independent service professionals ("Providers") for a variety of local services. Tiee does not itself provide these services and is not responsible for the quality, safety, or legality of the services offered by Providers.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

4. User Accounts

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

5. Bookings and Payments

When you book a service through the Platform:

• You agree to pay the listed price plus any applicable fees and taxes
• Payment is processed through our third-party payment providers
• Cancellation and refund policies apply as described on the Platform at the time of booking
• Tiee may charge service fees to Clients and/or Providers for use of the Platform

6. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Harass, abuse, or discriminate against any user or Provider
• Post false, misleading, or fraudulent content
• Attempt to circumvent the Platform to avoid fees
• Interfere with or disrupt the Platform or its infrastructure
• Scrape, collect, or harvest data from the Platform without authorization
• Impersonate any person or entity

7. Service Professionals

Providers on the Platform are independent contractors and are not employees, agents, or representatives of Tiee. Tiee does not guarantee the quality, safety, or legality of services provided. While we may conduct background checks or verification, we do not endorse or warrant any Provider.

8. Reviews and Content

Users may submit reviews, ratings, and other content ("User Content"). By submitting User Content, you grant Tiee a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content in connection with the Platform. You are solely responsible for your User Content and represent that it is accurate and does not violate any third-party rights.

9. Intellectual Property

The Platform, including its content, features, and functionality, is owned by Tiee and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Tiee shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to Tiee in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tiee, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Platform, violation of these Terms, or infringement of any rights of a third party.

12. Dispute Resolution

Any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

14. Termination

We may terminate or suspend your account and access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination will remain in effect.
